Financial Technology Legal Counsel

Job Description:
- You'll join a financial technology industry leader as its first in-house lawyer.
- You'll lead all commercial contracts negotiations and advise the company on legal issues.
- We are invested in your growth and hope that you will be excited to become a leader of the legal team as we scale.
- Lead negotiations of 100% of commercial contracts, such as software licensing terms, third party contractor agreements, and vendor agreements.
- Own updating our commercial templates, including our master service agreement, vendor agreement, terms of service, and privacy policy.
- Own all corporate state filing compliance requirements.
- Own and manage outside counsel relationships.
- Own all employment agreements.
- Assist leadership with financial compliance matters.
- Manage the capitalization table.
- Advise the Company on how to streamline processes and implement strategy to create efficiencies and scale.
- Proactively identify and advise the company on various corporate obligations including reporting requirements.
- Play a key role in any fundraising and M&A.
- Play a key role in ongoing compliance such as SOC and other third party audits.
- Identify legal and business priorities for the company with an eye toward exit readiness.
Qualifications
- 5 years corporate legal experience.
- 3+ years of experience advising B2B software companies in corporate and commercial matters.
- Fluency in negotiating commercial contracts.
- Leadership and management experience or at least a strong, demonstrated interest and potential.
- JD from an accredited law school and active bar membership in at least one US state.
